Brand Ambassador Terms and Conditions

The following terms and conditions (the "Agreement") set out the binding terms of your participation in the Oli&Carol Brand Ambassador programme (the "Programme"). Oli&Carol S.L. ("Oli&Carol") owns, operates the Programme and selects Brand Ambassadors.

By completing the application and participating in the Program, you ("you" or "Brand Ambassador") agree to the terms and conditions set forth herein, and any other applicable rules, policies or procedures that may be published from time to time on the www.oliandcarol.com website (the "Site") by Oli&Carol. If you do not accept or understand this Agreement do not submit your application or participate in the Programme.

1. Brand ambassador agreement

You confirm that you are an individual (i.e. not a company) and you are at least 18 years old. If you are a legal entity, you certify that you are an officer of the company or are otherwise authorised to act on behalf of the company. You also certify that you have legal permission to use the Programme and that you accept full responsibility for choosing and using the Programme. This Agreement is void where prohibited by law and permission to access this Program is revoked in such jurisdictions. You understand and agree that the Agreement is not intended to create a job, collaboration or business partnership of the Brand Ambassador with Oli&Carol. As a Brand Ambassador you are expected to act honestly, comply with the guidelines of the Federal Trade Commission ("FTC") and/or any other applicable laws.

2. Requirements

There are 3 basic requirements to participate in the Oli&Carol Brand Ambassador Programme:

Be over 18 years old
Be parents of children aged 0 to 12 years old.
Have an active and public Instagram account with a similar audience to Oli&Carol. The brand reserves the right, at its discretion, to make exceptions for applicant profiles.

3. Application process and account

In order to enjoy the benefits of the Programme you first have to fill in the application form available on our Brand Ambassador page, submit the form and be selected by Oli&Carol for the Programme. After submitting the form Oli&Carol will review the application and decide if you are accepted as a Brand Ambassador. If you are selected you become a Brand Ambassador. The Ambassador must register on the website (including all personal information: full name and email). The Brand Ambassador can opt out of receiving marketing and promotional emails unless otherwise specified.

4. Benefits

The Programme offers multiple benefits to the Brand Ambassador in exchange for content, hereinafter referred to as "Content" (information, images, photos, data, text or other materials). Brand Ambassadors create Content with Oli&Carol products.

Oli&Carol reserves the right to decide on and report what, how often and how much benefits you will receive for participating in the Programme. Benefits are offered to Ambassadors during the Programme in exchange for the promotion of products on the Ambassador's social networks. Oli&Carol reserves the right to unilaterally change as well as change or limit the benefits that Brand Ambassadors receive. Oli&Carol, taking into account commercially reasonable attempts will inform Ambassadors about the benefits they will receive. Benefits may include:

Special pricing on all Ambassador purchases.
Exclusive access to newly added product launches giving the Ambassador the opportunity to order products not yet available to the public.
Opportunity to be featured on Oli&Carol social media.
Monetary compensation for each sale made with your promotional code.

5. Brand Ambassador Obligations

Once the Ambassador has their products, as part of the Program, they must prepare at least 2 promotional Instagram posts and 2 Instagram Stories for all products and/or benefits received from Oli&Carol. The account used must be the one approved by Oli&Carol to participate in the programme.

The Ambassador must create the Content to be included in the promotional Instagram posts and Stories but need not be limited to only that. Oli&Carol's visual guide should be followed:

Take photos with good light and tonal similarities to the brand's images (@oliandcarol).
Emphasise simple, stylised images with uncluttered backgrounds.
Shoot in daylight but avoid direct sunlight.

If the Ambassador uses any Oli&Carol trademarks (including graphic or text elements) it must be in accordance with Oli&Carol's Terms and Conditions and include a statement attributing the trademark to Oli&Carol. The Oli&Carol logo may not be changed or altered.

If Oli&Carol notifies you to remove any reference to Oli&Carol it is mandatory, including its name, logo, trademarks, service marks or any other identifying material.

The Ambassador is solely responsible for the activity that occurs on his or her account and it is the Ambassador's obligation to keep the password secure. The Ambassador is obligated to immediately notify Printful of any breach of security or unauthorized use of your account. Although Oli&Carol will not be liable for any loss that the Ambassador may suffer due to unauthorized use of his or her account, the Ambassador may be liable for losses caused to Oli&Carol or others by such unauthorized use.

6. Content and Restrictions

The Content that you post, submit, upload, display or sell using our Programme is yours and you are solely responsible for it. You confirm that you have all necessary rights to the Content and that you are not infringing or violating any third party rights by posting or using it.

Oli&Carol expects the Content created by the Ambassador to be a truthful and creative representation of Oli&Carol Products that, depending on the purpose of the Content, will educate fans and/or increase their curiosity about Oli&Carol. Oli&Carol respects the creative freedom of the Ambassador to create Content in a way that connects with its audience.

By participating in the Programme and creating Content the Ambassador agrees that Oli&Carol may use it on the Site, its social media accounts, blogs or in marketing activities and you grant a global, royalty-free, perpetual, non-exclusive licence to copy, distribute and display the Content on any platform. This includes online galleries, publications and other marketing materials with the right to use, copy, modify, edit or create derivative works. The Ambassador also agrees to provide documentation to Oli&Carol upon request.

In accordance with applicable law, Ambassador must not: (i) use any unlawful method to promote Oli&Carol products and Ambassador shall be solely responsible for any such unauthorised communications; (ii) display Content that Oli&Carol believes in any way disparages or creates a derogatory image of Oli&Carol; (iii) make misleading representations about Oli&Carol or engage in any other practice that may damage Oli&Carol's reputation; or (iv) display any Content in a manner that may contain or promote (a) illegal activities or (b) Content that is misleading, violent, deceptive or violates the intellectual property, privacy or other rights of third parties. Ambassador is solely responsible for abiding by all national, regional and local laws, regulations and rules regarding advertising including but not limited to the FTC guidance.

7. Term and Termination

This Agreement is effective when your application is accepted, at Oli&Carol's discretion, and you are notified of such acceptance either in writing or electronically. Either party may terminate the Agreement at any time with or without cause. Upon termination of the Agreement for any reason, all rights or licenses granted immediately terminate and all use of such rights or licenses shall immediately cease. All links to the Site as well as all Oli&Carol logos and trademarks and other materials provided as part of the Program will also be removed.

Oli&Carol reserves the right to delete unconfirmed accounts or accounts that have been inactive for long periods of time. In case of violating any regulation or rule of this Agreement, the Agreement will be terminated immediately and the Ambassador understands and agrees that all associated benefits will be withdrawn or forfeited and his/her account will be closed.

8. General

No entity, collaboration, joint venture, employee-employer relationship, franchisee-franchisee relationship, etc. is intended or created by this Agreement. If any provision of this Agreement is shown to be invalid or unenforceable then it shall be disregarded and the remainder shall be enforced.

If a dispute arises between you and Oli&Carol, we strongly recommend that you contact us first to seek a resolution. The Agreement is governed by the Terms and Conditions and any dispute or claim arising out of or in connection with it is resolved in accordance with the procedure set out in the said Terms and Conditions.

In our sole discretion, we reserve the right to change, modify, suspend or discontinue the Agreement and the Program at any time, including the availability of any feature or function or content. Oli&Carol may also impose limits on certain features or restrict Ambassador's access to certain parts or all of the Program without notice or liability. Ambassador may be responsible for knowing and becoming familiar with any such modifications. Ambassador's use of the Programme following modifications shall constitute Ambassador's acceptance of the terms and conditions of the modified changes.

Headings are for ease of reading and do not limit the scope or extent of the respective section. Our failure to act on a breach by you or others does not waive our right to act on similar or subsequent breaches. We do not guarantee that we will take action for all breaches of this Settlement. The Agreement waives its right to require an original (non-electronic) signature, delivery or non-electronic record keeping to the extent permitted by law.

We make no express or implied warranties with respect to this Program or the Agreement or products and services sold by Oli&Carol. In addition, we make no representation that the Site will operate uninterrupted or error-free and we are not responsible for the consequences of any such errors or interruptions.

You understand that the Site and the rules are created and operated to be fully complied with and you agree to defend, indemnify and hold Oli&Carol harmless from any possible violation of laws or regulations, including but not limited to, intellectual property rights, rights to customer privacy, etc.

This Agreement shall be governed by and construed according to its original English version regardless of any translations that may have been made for different purposes.
